Terms of Service
Effective [TODO: effective date]
These terms are an agreement between you and [TODO: registered business name] (“TindaFlow”, “we”, “us”) for the use of the TindaFlow application and this website. By creating an account or using TindaFlow, you agree to them. If you use TindaFlow for a business, you confirm that you can agree on its behalf.
1. The service
TindaFlow is an online sales and inventory management system. It helps businesses record sales, track stock and review sales activity. We may improve, change or remove features over time, and we will tell you in advance about changes that significantly affect how you use it.
2. What TindaFlow is not
TindaFlow does not issue official receipts or invoices and does not replace BIR-required invoices, books of accounts, or your business’s tax, registration or other regulatory obligations. It is not a payment processor. You remain responsible for meeting the requirements that apply to your business.
3. Early access
- Early access is offered at no charge to businesses we accept. We may limit the number of early-access accounts.
- Early access is a pre-release service. Features may change, and the service may have errors or interruptions.
- Before any paid plan starts, we will tell you the price, what is included, and how billing works. Your account will not move to a paid plan unless you agree.
- Either of us may end early access at any time. We will give you [TODO: notice period, e.g. 30 days] notice if we end it, except in cases covered by section 8.
4. Your account
Keep your login details private and make sure the information you give us is accurate. You are responsible for activity under your account, including by staff you give access to. Tell us right away at [TODO: support email, e.g. hello@tindaflow.com] if you think your account has been used without permission.
5. Your data
- The business records you enter, such as products, stock quantities and sales, belong to you.
- You give us permission to store and process them only to provide and support the service.
- Stock and sales figures in TindaFlow reflect what is recorded. Their accuracy depends on recording sales, deliveries, returns and adjustments correctly. Keep doing physical stock counts.
- You can request a copy of your records. [TODO: describe the export format and how to get it.]
- Our Privacy Policy explains how we handle personal data.
6. Acceptable use
Do not use TindaFlow to:
- break any law, or record goods or activities that are illegal
- try to access other users’ accounts or data, or test, probe or disrupt the service
- copy, resell or reverse engineer the service
- upload malware or content that infringes someone else’s rights
7. Availability and support
We work to keep TindaFlow available but do not guarantee uninterrupted service, especially during early access. TindaFlow needs an internet connection. Support is available through the channels on our Contact page during [TODO: support hours, e.g. Mon–Sat, 9 AM–6 PM PHT].
8. Suspension and closing your account
You can stop using TindaFlow and ask us to close your account at any time. We may suspend or close an account that breaks these terms or puts the service or other users at risk. When an account is closed, we keep and then delete its records as described in the Privacy Policy. [TODO: state how long records stay available for export after closure.]
9. Fees
There are no fees during early access. Paid plans, when offered, will have their own price and billing terms, which we will show you before you agree to them.
10. Limitation of liability
[TODO: lawyer to draft the warranty disclaimer and liability limits that are enforceable under Philippine law, including the Consumer Act and Civil Code.]
11. Changes to these terms
We may update these terms. We will post the new version here with a new effective date and tell account holders about significant changes in advance. If you keep using TindaFlow after a change takes effect, the new terms apply.
12. Governing law
These terms are governed by the laws of the Republic of the Philippines. Disputes will be brought before the proper courts of [TODO: venue, e.g. a city], without prejudice to remedies available to consumers under Philippine law.
13. Contact
[TODO: registered business name], [TODO: business address]. Email [TODO: support email, e.g. hello@tindaflow.com].
